OPERATIONAL DIRECTIVES

1. SERVICE DEPLOYMENT

MarketView Analytics provides business intelligence services. Access granted upon payment and acceptance of these directives.

1.1 Service Scope

• Real-time dashboards and analytics
• Market intelligence reporting
• Predictive modeling (non-financial advice)
• Data integration from client sources

2. ACCEPTABLE USE

2.1 Client Obligations

• Provide accurate data and access credentials
• Maintain data source connectivity
• Comply with all applicable laws and regulations
• Use services only for internal business purposes

3. PAYMENT PROTOCOL

Services billed per executed contract. Shopify processes payments securely (PCI DSS compliant).

3.1 Billing Terms

• Subscription or project-based billing (per contract)
• Net 30 days payment terms from invoice date
• Late payments: 1.5% monthly interest + service suspension
• All payments non-refundable except as specified in Refund Policy

4. INTELLECTUAL PROPERTY

Client retains ownership of input data. MarketView owns platform, algorithms, and output formats.

4.1 Output License

• Non-exclusive, non-transferable license for internal use only
• No reverse engineering, decompilation, or disassembly permitted
• All proprietary notices must remain intact
• No resale, redistribution, or public disclosure of outputs

5. CONFIDENTIALITY

Both parties agree to maintain confidentiality of proprietary information disclosed during service delivery.

5.1 Obligations

• Non-disclosure of client data to third parties
• Protection of MarketView proprietary algorithms and methods
• 3-year confidentiality term post-termination

6. TERMINATION DIRECTIVES

Either party may terminate with 30 days written notice. Immediate termination permitted for material breach.

6.1 Post-Termination

• Access revoked immediately upon termination
• Data export available within 14 days of termination notice
• Outstanding payments due immediately upon termination

7. LIABILITY LIMITATION

Maximum liability limited to 12 months of fees paid by client.

8. GOVERNING LAW

These Terms governed by laws of State of Missouri, USA. All disputes resolved exclusively in courts of St. Louis County, Missouri.

9. MISCELLANEOUS

• Entire agreement: These Terms constitute complete understanding
• Severability: Invalid provisions do not affect remaining terms
• No waiver: Failure to enforce does not constitute waiver
• Force majeure: Neither party liable for events beyond control
